Terms of Service

1. The agency relationship

These terms govern the relationship between CN/D and clients who engage our services. By signing a proposal or beginning work with CN/D, you agree to these terms.

2. Services

CN/D provides digital marketing services including paid media management (Meta Ads, Google Ads, TikTok Ads), SEO, Shopify development, CRO, and related consulting. The specific services for each client are defined in the signed proposal or service agreement.

3. Payment terms

Retainer fees are invoiced monthly, in advance. Ad spend is managed separately and billed directly by the respective ad platforms. Invoices are payable within 14 days. Late payment may result in a pause of active campaigns until settlement.

4. Intellectual property

All creative work, ad copy, landing pages, and code produced by CN/D for a client becomes the client's property upon full payment of all outstanding invoices. Proprietary frameworks, processes, and templates developed by CN/D remain our property.

5. Confidentiality

CN/D will not share client data, performance results, or business information with third parties, except as required to provide the service (e.g., ad platform accounts). Clients agree to keep CN/D's pricing and internal processes confidential.

6. Results and liability

CN/D works to deliver the best possible results for every client. However, we cannot guarantee specific ROAS targets, ranking positions, or revenue outcomes, as these depend on factors outside our control including platform algorithms, market conditions, and client-side variables. Our liability is limited to the fees paid in the month in which an issue occurred.

7. Termination

Either party may terminate the relationship with 30 days' written notice. Upon termination, CN/D will provide a full handover of all accounts, assets, and access within 5 business days.

8. Governing law

These terms are governed by the laws of Romania. Any disputes will be resolved in the courts of Bucharest.
